Master Terms of Service & User Agreement

1. Legal Entity & Trademark Ownership

Tidong® is a registered trademark owned exclusively by Tidong Marketing Pvt. Ltd., a company incorporated under the laws of India, having its Registered Head Office in Agra, Uttar Pradesh, Corporate Office in New Delhi, and Regional Office in Kota, Rajasthan. Accessing or using this international platform—including all related localized web domains, universal QR services, merchant dashboards, and visitor hubs—constitutes an unconditional legal agreement to comply with these Master Terms.

2. Global Multi-Business Marketplace Scope

Tidong® operates an international, multi-currency, multi-language digital marketplace providing infrastructure for independent third-party vendors, including but not limited to:

• Retail Merchants, Restaurants, and Dynamic Digital Menu Operators.
• Taxi Fleet Operators and Independent Drivers.
• Authorized Foreign Exchange (Forex) Money Dealers.
• Licensed Tourist Guides and Cultural Tour Facilitators.
• Digital Profile & Smart Business Identity Users.

3. Vendor Obligations & Compliance Conditions

All business vendors, commercial account holders, and service providers onboarded onto Tidong® agree to strict operational protocols:

• Dynamic Price Accuracy: Vendors are solely responsible for setting, updating, and maintaining real-time pricing (MRP/Sale rates), inventory switches, menu tax details, and service availability. Tidong® bears no liability for pricing errors set by vendors.
• Regulatory Licensing: Forex exchangers, taxi operators, and tour guides warrant that they possess valid regulatory licenses, permits, insurance coverage, and compliance authorizations required by regional laws in their operating territories.
• No Direct Financial Escrow: Unless explicitly stated otherwise, Tidong® serves as an interactive communication and catalog facilitation technology. Direct financial settlements between customers and third-party vendors are executed at their mutual risk.

4. User & Tourist Conduct Guidelines

Global users and tourist consumers using the platform agree that:

• All bookings, taxi ride requests, catalog orders, and guide reservations submitted through the platform constitute direct binding requests to the designated independent vendor.
• Users must refrain from issuing fraudulent bookings, posting offensive materials, or attempting reverse-engineering of the platform's proprietary fingerprint and QR architecture.

5. Cancellation, Refunds, & Service Liabilities

Tidong Marketing Pvt. Ltd. acts as an intermediary technology aggregator. We accept zero liability for physical service delays, taxi breakdowns, currency exchange rate fluctuations, order delivery defaults, or guide cancellation disputes executed by independent vendors. Vendor-specific cancellation and refund policies apply directly.

6. Intellectual Property Rights

All logos, trademarks, database structures, UI designs, codebases, and brand assets associated with Tidong® are the exclusive property of Tidong Marketing Pvt. Ltd. Unauthorized reproduction, scraping, or branding imitation is strictly prohibited and subject to international IP prosecution.

7. Dispute Resolution & Mandatory Jurisdiction

ANY DISPUTE, CLAIM, CAUSE OF ACTION, OR LEGAL LITIGATION ARISING OUT OF OR IN CONNECTION WITH THIS PLATFORM, ITS SERVICES, TERMS, OR VENDOR INTERACTIONS SHALL BE SUBJECT TO THE EXCLUSIVE JURISDICTION OF THE COMPETENT COURTS IN AGRA, UTTAR PRADESH, INDIA ONLY. USERS AND VENDORS EXPRESSLY WAIVE ANY OTHER REGIONAL OR INTERNATIONAL JURISDICTIONAL CLAIMS.

8. Governing Language Clause

This agreement may be made available in multiple global languages for convenience. In case of any conflict, interpretation discrepancy, or legal proceeding, the Official English Legal Text as drafted by Tidong Marketing Pvt. Ltd. shall prevail as the sole legally binding version.
